§ 1 — Name and purpose
Hangö Udds Segelsällskap, whose home municipality is the city of Hanko, aims to promote maritime sport, to spread knowledge of good seamanship, to awaken and maintain interest in seafaring, and thereby to strengthen love of the home region. To this end the club organises maritime sport competitions, meetings, exercises, pleasure trips and social events.
§ 2 — Board and committees
The club's affairs are managed by a board consisting of a commodore, vice commodore and five members. Of the board members, the commodore, vice commodore and four board members are elected for two years, while one board member is elected for one year. Of those elected for two years, half retire annually, the first time by lot, thereafter in rotation.
The club has the following committees elected by the club meeting to assist the board: • a jury committee, consisting of a chairperson and the number of members determined at the election • an inspection committee, consisting of a chief inspector and the number of members determined at the election • an election committee, consisting of a chairperson and two members • an archipelago committee, consisting of a chairperson and the number of members determined at the election.
The club also has the following officers elected by the club meeting: the junior section chairperson and members, the club master, and other officers as required. The board may appoint additional committees as needed.
§ 3 — Powers of the commodore
The board determines its own rules of procedure and issues instructions to officers, and has the right to engage necessary staff. The commodore chairs the club's and the board's proceedings, and where desired, also all committee meetings. The commodore commands the club's squadron at races as well as on long passages and pleasure trips.
The club's name is signed by the commodore, or in the event of absence by the vice commodore, and countersigned by the secretary. For a valid decision within the board, at least four members must be present. In the event of a tie, the chair has the casting vote.
§ 4 — Financial year and audit
The club's financial year and accounting period coincide with the calendar year. The board shall at the spring meeting present a report on the club's activities and management during the financial year. The financial statements and the annual report shall be submitted to the auditors before the end of February. The auditors shall present their report to the spring meeting.
§ 5 — Membership
Any person of good standing may be nominated for membership by a member of the club to the board, and it falls to the board to decide whether the nominee is admitted as a member. A newly elected member shall pay the club an entry fee, the amount of which is determined by the autumn meeting for the following year. The club's members are either annual members or permanent members, and the membership fee is determined by the autumn meeting.
A permanent member is a person who has reached the age of 63 and been a member of the club for at least 25 years, or a person who has distinguished themselves in the club's activities and been specially invited to this by the board.
In addition, a person who has distinguished themselves in the development of maritime sport or otherwise actively worked for the club's purposes may be elected honorary member at a club meeting. For the validity of the decision, at least two thirds of those present must agree.
Rights of membership once obtained are retained.
§ 6 — Resignation and expulsion
A member who breaches these rules, misuses the club's flag or the club's rights under law and statute, or in the exercise of their membership damages the club's reputation, may by the board be given a warning or expelled from the club. The expelled member retains the right to appeal in writing within 30 days of notification of the decision to a general meeting, where a simple majority is required to confirm the board's decision. The vote shall be by secret ballot.
A member who has failed to pay the membership fee within two years of the due date is considered to have resigned from the club, but may re-join as a member in the manner described in § 5.
§ 7 — Vessel register
A vessel belonging to a member and used exclusively for pleasure trips and competitions is entered, provided it meets the relevant regulations, in the club's vessel register, and the owner is entitled to fly the club's flag on the vessel. A certificate is issued by an inspector for each registered vessel, renewed annually after inspection.
§ 8 — Club meetings
The club holds two ordinary meetings annually. The club convenes for a spring meeting in March and an autumn meeting in November in Hanko on a date specified by the board. Members are notified by advertisement in a local newspaper at least one week in advance, or by letter to all members no earlier than four (4) weeks and no later than eight (8) days before the meeting, to the address recorded in the club's member register.
The following matters are addressed at the club's spring meeting: the board's annual report and financial statements, the auditors' report, adoption of the financial statements and granting of discharge to the previous board, and other matters specified in the notice.
The following matters are addressed at the club's autumn meeting: the plan of activities for the following year, determination of entry and membership fees, the budget for the following year, election of commodore or vice commodore and board members to replace those retiring, election of two auditors and one deputy, election of other officers elected at the club meeting, and other matters specified in the notice.
An extraordinary meeting is held when the board considers it necessary or at least ten members have requested it in writing. Only matters specified in the notice may be addressed at an extraordinary meeting.
§ 9 — Voting rights and decision procedure
At club meetings every member aged 18 or over has one vote, and all matters except those mentioned in § 5 and § 13 are decided by a simple majority. In the event of a tie, the chair's view prevails. All elections and decisions, except those mentioned in § 6, are determined by open vote, unless a member requests a secret ballot, in which case one shall be held. In a secret ballot, a tied election is decided by lot.
Only personally present members may participate in elections and votes at a meeting. Minutes shall be kept of decisions made at the meeting, which shall be approved or verified by the meeting and confirmed as correct by at least two members present. The club's official language is Swedish, which is also used in all communications.
§ 10 — Sections
To promote maritime sport among young people and to bring younger members into the club, an unregistered junior section has been established, and to manage motorboat sport a motorboat section registered with the Finnish Motorboat Federation. The club also has an unregistered ladies' section.
§ 11 — Awards
The club may, in accordance with rules adopted for the purpose, award insignia and prizes for work performed in the club's service or for achievements on the racing course.
§ 12 — Rules of order
The club as a whole, or with its approval its board, has the right in addition to these rules to issue instructions and regulations concerning the flying of flags, etiquette at sea and on land, inspection of vessels, the wearing of uniform, order in the clubhouse and at the slipway. Such rules are binding on all members of the club without exception.
§ 13 — Amendment of rules and dissolution
Amendment of these rules may only take place by decision of two consecutive meetings, where at least three quarters of those present have agreed to the decision. The same provisions apply to a decision to dissolve the club. In the event of dissolution, the club's assets shall pass to an organisation in Hanko working to promote maritime sport, or to the Finnish Lifeboat Institution.
